Terms of Service
Effective July 30, 2026 · Billings
These Terms of Service explain how you may use Billings websites, platform features, demos, APIs, administrative portals, and Bill AI. They are designed to keep hiring workflows clear while protecting Billings, customers, candidates, and the people who rely on our technology.

1. Agreement to These Terms
These Terms of Service (“Terms”) form a binding agreement between you and Billings governing access to and use of Billings websites, applications, demos, APIs, customer portals (including CEO and administrative portals), Bill AI features, and related services (collectively, the “Services”).
By accessing or using the Services, requesting a demo, creating an account, or clicking to accept these Terms, you agree to them. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Eligibility and Authority
You must be at least 18 years old and legally able to enter contracts. You may not use the Services if you are barred under applicable law or if your access has been previously terminated for cause.
3. Website Use
Our public websites provide information about Billings, pricing, solutions, documentation summaries, and contact pathways. Website content is for general information and may change. It does not create a professional services engagement unless confirmed in a separate writing.
You agree not to disrupt the website, attempt unauthorized access, scrape in a manner that overloads systems, or misrepresent your affiliation with Billings.
4. Platform Services
The Billings platform provides hiring intelligence features such as candidate conversation, screening assistance, scheduling support, notifications, analytics, integrations, and administrative controls. Features vary by plan and configuration.
Billings may update the platform to improve security, performance, and functionality. Material deprecations of paid features will be communicated in a commercially reasonable manner.
5. Demos and Evaluations
Demo and pilot environments are provided for evaluation. Demo data may be simulated or limited. You must not rely on demo environments for production hiring decisions unless Billings expressly confirms production readiness in writing.
Confidential information shared during demos remains protected under these Terms and any applicable NDA.
6. AI Usage and Bill
Bill and related AI features generate responses and structure information to assist hiring workflows. Outputs may be incomplete or incorrect. You must review AI-assisted results before taking employment actions.
You are responsible for prompts, job content, screening criteria, and how your personnel use AI outputs. Billings does not guarantee that AI outputs are bias-free or suitable for every role without human oversight.
7. Hiring Decisions Remain Yours
Billings is decision support. You—not Billings—are solely responsible for hiring, rejection, interview, and offer decisions, and for compliance with employment, equal opportunity, labor, and privacy laws applicable to your hiring.
You must not use the Services to discriminate unlawfully or to circumvent required human review where law or your policies demand it.
8. Candidate Data Responsibilities
If you process candidate information through the Services, you represent that you have provided required notices and have a lawful basis to do so. You must not upload unlawful content or sensitive data beyond what is necessary for the role and permitted by law.
Candidate data handling is further described in our Privacy Policy. In customer deployments, you typically act as controller and Billings as processor, except where Billings processes data for its own business operations.
9. User Accounts
You must provide accurate account information and keep it updated. You are responsible for all activity under your accounts and for ensuring only authorized personnel have access.
Notify Billings promptly of suspected unauthorized use. Billings may suspend accounts to protect the Services or other customers.
10. CEO Portal and Administrative Access
Certain customers receive access to elevated administrative surfaces, which may include company operations, user management, billing visibility, support tooling, and platform controls (including CEO portal features).
Administrative users must act with care. Misuse of elevated privileges—including unauthorized impersonation, bulk exports without authorization, or alteration of production settings outside change control—is prohibited and may result in suspension.
11. Subscription Services
Paid plans are offered as subscriptions according to the plan selected and any order form. Subscriptions renew for successive terms unless canceled as permitted in your agreement or account settings.
Feature availability depends on plan tier. Enterprise features may require additional configuration, security review, and professional services.
12. Billing and Payment
You agree to pay all fees when due. Fees are exclusive of taxes unless stated otherwise. You authorize Billings and its payment processors to charge the payment method on file for recurring fees.
Late amounts may accrue interest at the maximum rate permitted by law or as stated in your order form. Billings may suspend Services for non-payment after notice.
13. Refunds
Except where required by law or expressly stated in an order form, fees are non-refundable. If Billings terminates Services for convenience without cause, unused prepaid fees for the terminated period may be refunded on a pro-rata basis.
Chargebacks initiated without first contacting support@billings.chat may be treated as a material breach.
14. API Usage
If Billings provides API access, you must use keys securely, respect rate limits, and only access data you are authorized to process. Reverse engineering of APIs beyond interoperability needs permitted by law is prohibited.
Billings may throttle or revoke API access that threatens platform stability or security.
15. Intellectual Property
Billings and its licensors own all right, title, and interest in the Services, software, models configurations provided by Billings, documentation, and branding—excluding your content and candidate content you submit.
No rights are granted except as expressly stated. Feedback you provide may be used by Billings to improve the Services without obligation to you.
16. Trademarks
Billings names, logos, and product marks are trademarks of Billings. You may not use them without prior written permission, except for truthful factual references that do not imply endorsement.
17. Copyright
Website and product materials are protected by copyright. You may not copy, distribute, or create derivative works from Billings materials except as allowed by these Terms or written permission.
If you believe content on the Services infringes your copyright, contact support@billings.chat with a detailed notice.
18. Your Content License
You retain ownership of content you submit. You grant Billings a worldwide, non-exclusive license to host, process, transmit, display, and create derivative technical representations of that content solely to provide and secure the Services and as otherwise permitted by your agreement.
19. Acceptable Use
You agree to use the Services only for lawful hiring and related business purposes.
- Do not attempt to probe, scan, or breach security.
- Do not upload malware or harmful code.
- Do not harass candidates or personnel through the Services.
- Do not use the Services to spam, phish, or mislead applicants.
- Do not resell or white-label the Services without authorization.
- Do not bypass usage limits or plan restrictions.
20. Abuse and Investigations
Billings may investigate suspected abuse and may remove content, suspend users, or contact authorities when we reasonably believe there is risk to people, customers, or the platform.
You agree to cooperate reasonably with investigations involving your accounts.
21. Security
Billings implements commercially reasonable administrative, technical, and physical safeguards designed to protect the Services. You are responsible for securing your systems, endpoints, and integration credentials.
You must promptly notify Billings of vulnerabilities you discover and must not publicly disclose them until Billings has had a reasonable opportunity to remediate.
22. Availability and Support
Billings aims for high availability but does not guarantee uninterrupted operation. Maintenance, outages, and force majeure events may affect access.
Support levels depend on your plan. Enterprise customers may receive enhanced response targets under their agreement.
23. Third-Party Services
The Services may interoperate with third-party products (ATS, calendar, identity, messaging). Billings is not responsible for third-party services. Your use of them is governed by their terms.
Enabling an integration constitutes instruction to exchange relevant data with that third party.
24. Confidentiality
Each party may receive confidential information from the other. The receiving party must protect it with reasonable care and use it only for purposes of the relationship, except for information that is public, independently developed, or rightfully received from a third party without duty.
25. Privacy
Personal information is handled as described in our Privacy Policy. Where a Data Processing Addendum is executed, it supplements these Terms for customer personal data processing.
26. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BILLINGS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
Billings does not warrant that AI outputs will be accurate, complete, or error-free.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLINGS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
BILLINGS’ AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO BILLINGS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.
28. Indemnification
You will defend and indemnify Billings against claims arising from your content, your hiring decisions, your unlawful use of the Services, your violation of these Terms, or your infringement of third-party rights—except to the extent caused by Billings’ willful misconduct.
Billings will defend you against third-party claims that the unmodified Services infringe a U.S. intellectual property right, subject to prompt notice, control of defense, and customary exclusions (combinations, modifications, unauthorized use).
29. Suspension and Termination
Either party may terminate for material breach if not cured within thirty (30) days after notice (or immediately for unpaid fees after shorter notice stated in an order form).
Billings may suspend access immediately to address security risk, legal requirements, or severe abuse. Upon termination, your license ends and you must cease use. Data export and deletion follow your agreement and Privacy Policy.
30. Export and Sanctions
You may not use the Services in violation of export control or sanctions laws. You represent that you are not a prohibited party under applicable U.S. sanctions regimes.
31. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a signed enterprise agreement specifies otherwise.
32. Dispute Resolution
Before filing a claim, the parties will attempt in good faith to resolve disputes by contacting support@billings.chat and escalating to business leadership for at least thirty (30) days.
If unresolved, disputes shall be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there—unless mandatory law requires otherwise or an enterprise agreement specifies arbitration.
33. Changes to These Terms
We may update these Terms by posting a revised version with an updated effective date. Continued use after the effective date constitutes acceptance, except where acceptance must be affirmative under law or contract.
34. Miscellaneous
These Terms, plus any order form and incorporated policies, are the entire agreement regarding the Services and supersede prior proposals on the same subject. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Billings’ consent, except to an affiliate or successor in connection with a merger or sale of assets; Billings may assign freely.
